PLEASE READ THESE TERMS OF USE BEFORE USING NEVERBELL

1. Acceptance of the Terms of Use

These terms of use (“Terms”) are entered into by and between you and Supreme Liquid Labs, a Cayman Islands company (including all affiliates, collectively referred to as, “SLL”, “we”, “us”, or “our”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms”), govern your access to and use of the website located at https://neverbell.com/ or any sub-URL (“Neverbell”) and any content, or functionality offered on or through your use of Neverbell.

Please read the Terms carefully, as they govern your use of Neverbell. This includes your rights and obligations, our disclaimers and limitations of legal liability and risks described herein, relating to your use of, and access to, Neverbell. By using Neverbell or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms.

Our services may change over time. We reserve the right in our sole discretion to modify or discontinue any parts of Neverbell at any time and without any liability or obligation to notify you.

If you do not agree to these Terms, you must not access or use Neverbell.

2. About Neverbell

​​Neverbell is an open-source AI agent skill that enables users to connect AI agents to decentralised trading infrastructure on the Hyperliquid protocol, allowing automated interaction with smart contracts deployed on Hyperliquid. Neverbell is derived from and built upon the open-source OpenClaw framework, which is licensed under the MIT Licence. Neverbell is made available under the same licence, and its source code is freely available for inspection, modification, and redistribution subject to those licence terms.

The Neverbell AI agent runs entirely on the user's own device. SLL operates a hosted dashboard that allows users to view their account, manage devices, and access deposit/withdrawal functionality, but this dashboard does not store, process, or transmit private keys or wallet credentials, and does not cache or store trading data. All position and balance information displayed is read directly from Hyperliquid's public infrastructure in real time.

Neverbell uses Hyperliquid's agent wallet functionality, which allows users to authorise a separate keypair to sign transactions on their behalf. At no point do SLL or Neverbell hold, custody, or control any user funds or assets. All transactions are signed and broadcast directly by the user's own agent wallet operating on the user's own device. You are solely responsible for any transactions you choose to engage in.

SLL does not develop or deploy the smart contracts that Neverbell interfaces with. Those contracts are fully open-source and deployed by third parties on Hyperliquid. Users can interact with the same smart contracts or Hyperliquid directly without using Neverbell. SLL does not control and cannot modify those smart contracts.

SLL has implemented a builder code on Hyperliquid in connection with Neverbell. This does not generate fees payable to SLL but is used to attribute trading activity to Dreamcash for analytical and product development purposes.

3. Who May Use Neverbell

Neverbell is not intended for children. By using Neverbell, you represent and warrant that you (i) are 18 years of age or older, (ii) are not barred from using Neverbell under any applicable law, and (iii) are using Neverbell only for your own personal use. If you do not meet these requirements, you must not access or use Neverbell.

You must also not be a person who (a) is subject to national or international sanctions or located or ordinarily resident in any country or region that is the subject of comprehensive country-wide or region-wide sanctions, embargo or equivalent by the United States of America, United Kingdom, European Union or the government of a user home country, (b) is listed by the United States of America, United Kingdom, European Union or otherwise designated on any list of prohibited or restricted parties or persons, (c) appears on the Specially Designated Nationals and Blocked Persons List of the OFAC, the European Union consolidated list of persons, groups and entities subject to financial sanctions, the United Kingdom Consolidated List of Financial Sanctions Targets, nor are they otherwise a person with which SLL is prohibited to deal with under the laws of the United States, the European Union (or any of its Member States), the Cayman Islands or the United Kingdom, (d) is a person identified as a terrorist organization on any other relevant lists maintained by any governmental authority, (e) is a resident of the Cayman Islands, (f) is a resident of the United Kingdom.

By downloading or using Neverbell, you represent and warrant that you do not fall within any of the categories above. SLL reserves the right to suspend, limit, or terminate access to Neverbell for any user who violates these Terms, engages in unlawful activity, or poses a compliance risk, at its sole discretion and without prior notice.

4. Changes to the Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them.

Your continued use of Neverbell following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

5. AI Agent Operation and User Responsibility

Neverbell does not bundle or operate an AI model. The AI agent you connect to Neverbell is your own.

Neverbell enables AI agents operating on your device to interact autonomously with Hyperliquid on your behalf, including by placing, modifying, and cancelling orders.

You acknowledge and agree that: a. You are solely responsible for all trading decisions and outcomes, including those executed autonomously by an AI agent operating through Neverbell. The fact that a trade was executed by an AI agent does not reduce or transfer your responsibility for that trade. b. You are responsible for configuring, monitoring, and supervising any AI agent you connect to Neverbell. SLL has no visibility into, or control over, the instructions you provide to your AI agent or the decisions your AI agent makes. c. AI agents may make errors, misinterpret instructions, act on incomplete or inaccurate information, or behave in unexpected ways. SLL does not guarantee the accuracy, suitability, or performance of any AI agent used in connection with Neverbell. d. You should review your agent's activity regularly and implement appropriate risk controls, including position limits and stop-loss parameters, appropriate to your risk tolerance. e. If you configure your AI agent to operate autonomously without requiring your approval before each trade, trades may be executed without your direct input on each transaction.

6. No Financial Advice

SLL is not an exchange, broker, market-maker, investment adviser, portfolio manager, custodian, payment processor, lender, fiduciary agent, or virtual or crypto-asset service provider in any jurisdiction. We have no oversight, involvement, or control over the transactions you choose to conduct via Neverbell.

Neverbell does not provide financial advice, investment advice, trading advice, or any other form of regulated advice. Nothing in Neverbell, its documentation, its associated websites, or any communications from SLL constitutes a recommendation, solicitation, or offer to buy or sell any asset. Any market data, signals, news feeds, or analytical outputs made accessible through Neverbell or any AI agent operating with Neverbell are provided for informational purposes only and do not constitute investment advice.

You are solely responsible for conducting your own research and making your own investment decisions.

7. Intellectual Property Rights

The underlying OpenClaw framework is open-source software licensed under the MIT Licence. The MIT Licence permits free use, modification, and redistribution of the code subject to retention of the original copyright notice and licence text.

Unless otherwise indicated, The Neverbell-specific modifications, branding, and associated materials are the proprietary property of SLL (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (collectively, the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright, trademark and other intellectual property laws and international conventions. You are not permitted to use any Marks without the prior written consent of the owner of the relevant Mark.

Except as expressly provided herein, we or our licensors do not grant any express or implied license to Neverbell or the Content. You agree not to copy, reproduce, aggregate, republish, download, post, display, transmit, modify, rent, lease, loan, sell, assign, distribute, license, sublicense, sell, reverse engineer, create derivative works based on, or otherwise exploit for any commercial purposes whatsoever, Neverbell or the Content, without our express prior written permission.

If you are eligible to use Neverbell, you are permitted to access and use Neverbell and the Content to which you have properly gained access solely for your personal, non-commercial use. You may not modify or alter the Content in any way. We reserve all rights not expressly granted to you.

8. Prohibited Uses

You may use Neverbell only for lawful purposes and in accordance with these Terms. You agree not to use Neverbell:

Neverbell is built on the open-source OpenClaw framework, which has broad system permissions. You should only install Neverbell and connect skills from trusted sources, and should be aware of risks including prompt injection attacks and unvetted third-party skill vulnerabilities.

You acknowledge that: a. Neverbell does not store, transmit, or have access to your private keys at any time. You must store private keys and credentials securely on your own device. b. SLL is not responsible for any loss of funds or assets arising from compromised private keys, unauthorised access to your device, prompt injection attacks, or any other security incident affecting your local installation. c. No person or entity, including SLL, is able to restore lost credentials or recover assets lost as a result of a security incident.

You understand and accept the following risks relating to Neverbell.

11. Information About You and Your Visits to Neverbell

When you sign up for Neverbell, you will be asked to provide either an email address or a phone number. This is the only personal data SLL collects in connection with Neverbell.

It is used solely to provide you with access, is retained for as long as your account is active and deleted within 12 months of account closure, and is not shared with any third party except Privy, which manages the sign-up flow as our data processor.

Beyond this, Neverbell runs entirely on your own device and no trading data, wallet credentials, or transaction information is transmitted to SLL.

If you use the deposit or withdrawal functionality, you will be required to complete identity verification (KYC) directly with MoonPay, which acts as an independent data controller for that purpose. SLL does not receive or store the identity documents or verification data you provide to MoonPay. Please refer to MoonPay's own privacy policy for details of how it processes your information.

12. Linking to Neverbell and Social Media Features

You may link to Neverbell, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part without our express written consent.

13. Links from Neverbell

If Neverbell contains links to any resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those third party resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third party resources linked on Neverbell, you do so entirely at your own risk and subject to the terms and conditions of use for such third party resources. We reserve the right to withdraw linking permission without notice.

14. Geographic Restrictions

Access to Neverbell may be restricted or prohibited in certain countries or jurisdictions. We make no claims that Neverbell or any of its content may be accessed by any person in any particular country or jurisdiction. In particular, HIP-3 markets available through Hyperliquid are not intended for use by residents or nationals of the United States of America. By accessing HIP-3 markets via Neverbell, you represent and warrant that you are not a US person.

15. Disclaimer of Warranties

YOUR USE OF NEVERBELL IS AT YOUR OWN RISK. NEVERBELL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SLL MAKES NO WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF NEVERBELL.

WE HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF WARRANTIES OR LIMITATIONS ON THE DURATION OF IMPLIED WARRANTIES, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU IN THEIR ENTIRETIES, BUT WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

16. Limitation on Liability

IN NO EVENT WILL SLL, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, NEVERBELL, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless SLL, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of Neverbell, including any trades executed by an AI agent operating through your installation of Neverbell.

18. Third-Party Providers

Neverbell interacts with third-party infrastructure, including Hyperliquid, Privy (for wallet management), and any AI provider whose model you connect to Neverbell. Neverbell provides a dashboard through which users may deposit and withdraw funds via MoonPay, a third-party regulated provider of fiat-to-crypto exchange services. MoonPay is solely responsible for the deposit and withdrawal services it provides. SLL does not custody funds at any point during a deposit or withdrawal; transactions are initiated by, and broadcast from, the user's own wallet.

SLL is not responsible for the performance, accuracy, compliance, or reliability of these third-party services. Your use of such third-party services is subject to their own terms and conditions.

Neverbell is built on the OpenClaw open-source framework. SLL is not affiliated with the OpenClaw Foundation and is not responsible for changes to the OpenClaw codebase that may affect Neverbell's functionality.

19. Governing Law and Jurisdiction

All matters relating to Neverbell and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Cayman Islands without giving effect to any choice or conflict of law provision or rule (whether of the Cayman Islands or any other jurisdiction).

Any dispute arising out of or in connection with Neverbell and these Terms, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be the Cayman Islands. The language to be used in the arbitration shall be English. You and SLL agree to submit all Disputes between you and SLL to individual binding arbitration. “Dispute” means any dispute, claim, or controversy between you and SLL that relates to Neverbell and these Terms.

If a Dispute must be arbitrated, you or SLL must start arbitration of the Dispute within one (1) year from when the Dispute first arose. If applicable law requires you to bring a claim for a Dispute sooner than one (1) year after the Dispute first arose, you must start arbitration in that earlier time period. SLL encourages you to tell us about a Dispute as soon as possible so we can work to resolve it. The failure to provide timely notice will bar all claims.

In any Dispute, the arbitrator will award to the prevailing party, if any, the costs and attorneys’ fees reasonably incurred by the prevailing party in connection with those aspects of its claims or defenses on which it prevails, and any opposing awards of costs and legal fees awards will be offset.

Any breach by you of these Terms could cause SLL irreparable harm for which it has no adequate remedies at law. Accordingly, SLL is entitled to seek specific performance or injunctive relief for any such breach. Nothing in this section will preclude SLL from seeking specific performance or injunctive relief from a court of appropriate jurisdiction.

20. Waiver and Severability

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

21. Independence

You acknowledge and agree that SLL does not owe you any fiduciary duties or liabilities. Your use of Neverbell does not create any partnership, joint venture, or agency relationship between you and SLL.

22. Entire Agreement

The Terms and any other terms and conditions applicable at the time you access Neverbell constitute the sole and entire agreement between you and SLL with respect to Neverbell and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to Neverbell.
